Zebec Superapp: Master Terms & Conditions

These Master Terms & Conditions (“Terms”) govern access to and use of the Zebec SuperApp and all related applications, websites, APIs, software, features, and services (collectively, the “Services”) provided by Zebec and its affiliated entities (“Zebec,” “we,” “us,” or “our”).
By accessing, downloading, or continuing to use the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, all applicable Module-Specific Terms, and incorporated policies available at www.zebec.io.
If you do not agree, you must discontinue use of the Services.
PART I — MASTER TERMS
1. STRUCTURE AND HIERARCHY
These Terms include:
- Master Terms (Part I)
- Module-Specific Terms (Part II)
- Incorporated Policies (Privacy Policy, Risk Disclosures, Acceptable Use Policy, Fee Schedules)
In the event of conflict, the applicable Module-Specific Terms shall prevail for that Service.
2. ELIGIBILITY AND CAPACITY
You represent and warrant that:
- You are at least eighteen (18) years old or the age of majority in your jurisdiction;
- You have legal capacity to enter into binding agreements;
- Your use of the Services complies with all applicable laws and regulations.
Zebec may suspend or terminate access where required by law or risk considerations.
3. NATURE OF SERVICES (SaaS PLATFORM)
The Zebec SuperApp (the “App”) is provided as a Software-as-a-Service (SaaS) platform enabling users to connect compatible digital wallets and access payment, payroll streaming, card, staking, and related digital asset functionality.
Except where expressly stated in Module-Specific Terms, Zebec:
- Is not a bank, deposit-taking institution, or credit institution;
- Is not a broker-dealer, investment adviser, or fiduciary;
- Is not an employer or payroll administrator;
- Does not provide financial, investment, tax, or legal advice.
The Services are technological tools that facilitate user-directed transactions.
4. JURISDICTIONAL AVAILABILITY
Not all Services are available in all jurisdictions.
Availability depends on:
- Regulatory permissions
- Licensing status
- Third-party partner availability
- Operational constraints
You are solely responsible for ensuring that your use complies with local laws, including financial, tax, employment, digital asset, and consumer protection regulations.
Zebec makes no representation that the Services are lawful in every jurisdiction.
5. FEES AND TAXES
Applicable fees will be disclosed prior to use of relevant Services or in Module-Specific Terms.
You are solely responsible for determining and satisfying any tax obligations arising from your use of the Services.
6. USER RESPONSIBILITIES
You agree to:
- Provide accurate and complete information;
- Maintain confidentiality of credentials;
- Secure connected wallets and private keys;
- Verify transaction details before confirmation;
- Use the Services lawfully and responsibly.
You are solely responsible for how you configure and use the software.
7. RISK DISCLOSURES
Digital asset and blockchain-based Services involve material risks, including:
- Market volatility;
- Irreversible transactions;
- Smart contract vulnerabilities;
- Network congestion or outages;
- Regulatory changes;
- Technological failures.
You acknowledge and assume these risks.
Zebec does not guarantee uninterrupted, error-free, or continuous operation.
8. THIRD-PARTY SERVICES & INDEPENDENT USE DISCLAIMER
8.1 Third-Party Integrations
The Services may integrate with independent third parties, including:
- Wallet providers
- Card issuers
- Payment processors
- Custodians
- Blockchain networks
- Validators and staking providers
- Banking partners
These entities operate independently and may impose separate terms.
To the maximum extent permitted by law, Zebec is not responsible for the acts, omissions, performance, availability, or compliance of third parties.
8.2 Non-Custodial Role
Unless explicitly stated otherwise in Module-Specific Terms, Zebec does not hold custody of user digital assets.
Users retain control of their wallets and private keys.
Zebec facilitates user-directed interactions but does not guarantee execution, settlement, or transaction outcomes.
8.3 Independent Use of Software
Zebec provides technical infrastructure only. Zebec does not control, supervise, or direct how users, employers, or institutions configure or utilize the Services.
Each user or client is solely responsible for:
- Compliance with applicable laws;
- Employment and tax compliance (where applicable);
- Transaction verification;
- Proper system configuration.
Zebec shall not be liable for loss, damage, unauthorized access, or regulatory violations arising from:
- User error;
- Third-party actions;
- Network failures;
- Technological disruptions beyond Zebec’s reasonable control.
9. SUSPENSION AND TERMINATION
Zebec may suspend or restrict access to comply with law, prevent fraud, protect users, or enforce these Terms.
10. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Zebec shall not be liable for indirect, incidental, special, or consequential damages.
- Zebec’s aggregate liability shall not exceed fees paid in the preceding twelve (12) months.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Zebec from claims arising from:
- Your misuse of the Services;
- Violation of applicable laws;
- Breach of these Terms.
13. GOVERNING LAW & DISPUTES
Governing law and dispute resolution depend on the applicable Zebec entity.
EU users are subject to Annex I.
PART II — MODULE-SPECIFIC TERMS
MODULE: ZEBEC CARDS
- Cards are issued by licensed third-party financial institutions.
- Zebec is not the issuer, bank, or credit provider.
- Card usage is subject to issuer and network rules.
- Transaction limits, FX fees, and other charges may apply.
- Cards may be suspended for fraud, compliance, or network reasons.
- Funds associated with cards may not be covered by deposit insurance unless expressly stated by the issuer.
MODULE: STREAMING / PAYROLL
- Zebec provides technology infrastructure for payment streaming.
- Zebec is not an employer, payroll processor, or tax withholding agent.
- Employers remain solely responsible for wage, tax, and employment law compliance.
- Payment timing depends on funding and network conditions.
- Streaming functionality does not alter legal payroll obligations.
MODULE: STAKING
- Staking participation is voluntary.
- Rewards are variable and not guaranteed.
- Lock-up periods or protocol restrictions may apply.
- Slashing or loss of principal may occur.
- Staking is not a deposit, savings account, or insured product.
- Regulatory treatment of staking varies by jurisdiction.
ANNEX I — EUROPEAN UNION USERS
This Annex applies to users resident in the European Union.
- Nothing limits mandatory consumer rights under EU law.
- Services are provided consistent with Directive (EU) 2019/770 where applicable.
- Where Regulation (EU) 2023/1114 (MiCA) applies, the relevant Zebec entity will comply with applicable obligations.
- Consumers may bring proceedings in their Member State of residence under Regulation (EU) 1215/2012.
- Liability limitations apply only to the extent permitted under EU law.
